Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag an dem Sie oder ein von Ihnen benannter Dritter, der nicht der Beförderer ist, die Waren in Besitz genommen haben bzw. hat.

Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet. Wir können die Rückzahlung verweigern, bis wir die Waren wieder zurückerhalten haben oder bis Sie den Nachweis erbracht haben, dass Sie die Waren zurückgesandt haben, je nachdem, welches der frühere Zeitpunkt ist. Sie haben die Waren unverzüglich und in jedem Fall spätestens binnen vierzehn Tagen ab dem Tag, an dem Sie uns über den Widerruf dieses Vertrags unterrichten, an uns zurückzusenden oder zu übergeben. Die Frist ist gewahrt, wenn Sie die Waren vor Ablauf der Frist von vierzehn Tagen absenden. Sie tragen die unmittelbaren Kosten der Rücksendung der Waren.
Sie müssen für einen etwaigen Wertverlust der Waren nur aufkommen, wenn dieser Wertverlust auf einen zur Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise der Waren nicht notwendigen Umgang mit ihnen zurückzuführen ist.
Das Widerrufsrecht besteht nicht bei Verträgen zur Lieferung von Waren, die nicht vorgefertigt sind und für deren Herstellung eine individuelle Auswahl oder Bestimmung durch den Verbraucher maßgeblich ist oder die eindeutig auf die persönlichen Bedürfnisse des Verbrauchers zugeschnitten sind. Ebenso besteht ein Widerrufsrecht nicht bei Verträgen zur Lieferung von Waren, die schnell verderben können oder deren Verfallsdatum schnell überschritten würde.
Bei Verträgen zur Lieferung versiegelter Waren, die aus Gründen des Gesundheitsschutzes oder der Hygiene nicht zur Rückgabe geeignet sind, erlischt Ihr Widerrufsrecht vorzeitig, wenn die Versiegelung der Waren nach der Lieferung entfernt wurde. Bei Verträgen zur Lieferung von Ton- oder Videoaufnahmen oder Computersoftware in einer versiegelten Verpackung erlischt Ihr Widerrufsrecht vorzeitig, wenn die Versiegelung nach der Lieferung entfernt wurde. Bei elektronischen Dienstleistungen erlischt das Widerrufsrecht, wenn wir vor Ende der Widerrufsfrist mit der Ausführung der beauftragten Dienstleistung beginnen. Dies betrifft dabei insbesondere die Aktivierung der dguard-Lizenz im Rahmen der Inbetriebnahme des dguard-systems. Bei elektronischen Dienstleistungen erlischt das Widerrufsrecht, wenn wir vor Ende der Widerrufsfrist mit der Ausführung der beauftragten Dienstleistung beginnen. Dies betrifft dabei insbesondere die Aktivierung der dguard-Lizenz im Rahmen der Inbetriebnahme des dguard-systems.

§ 1 General
(1) These terms of use of digades dguard® (referred to in the following as the “TUCR”) apply to all contracts to the use of the digades dguard® system between

and the customer.
The TUCR apply exclusively between digades and the customer, in consideration of the service usage. The version of the TUCR valid at the time of conclusion or extension of contract shall apply. digades shall not accept any divergent conditions from the customer. This shall also apply if digades does not explicitly reject these divergent terms of use.
(2) digades may alter the TUCR retroactively if necessary and provided that the customer is not disadvantaged in bad faith by said alteration. This necessity may arise, for example, due to a change in the statutory framework conditions applicable to the provision of emergency call services or telecommunications services, due to a change in market conditions for these services that digades procures on the market on its part, or due to the implementation of additional functions in the digades dguard® product. These changes shall become effective from the time specified by the change itself, but no earlier than the time at which digades stores the altered TUCR on the dguard® customer portal and informs the customer of these new TUCR by sending an email to the email address stored by the customer on the dguard® customer portal.
§ 2 Product characteristics of digades dguard®
(1) System components
digades provides hardware and software in the field of wireless communication solutions. digades provides the customer, to the extent defined in these TUCR, with an automatic emergency call and anti-theft warning system under the designation digades dguard® for two-wheeled motorbikes, intended for use on public roads in Germany and in other countries, as specified in the list of countries enclosed as Appendix 1. Use in motor vehicles with more than two wheels (especially trikes, quads or motorbikes with a sidecar) is excluded. digades dguard® consists of hardware components, an app for smartphones or Internet browsers for configuring the system and displaying an anti-theft warning and temporary access for mobile communication (Section 3), which is needed in particular for dial-up to the emergency services or the dguard® app. The hardware components consist of the dguard® eCall module and a dguard® SOS button. Putting into operation also includes temporary access to mobile communication. Special conditions apply to extending mobile communication and to procuring and using the app.
(2) Functionality
digades dguard® uses the sensor data collected in the dguard® eCall module to detect typical accident situations and it automatically triggers a mobile emergency call to the responsible emergency services call centre when it detects an accident situation, if the service is available (Section 3). The information to identify and locate the vehicle as well as provide assistance (“emergency call information”) is transferred to the emergency services call centre. If a theft is detected, digades dguard® triggers a theft warning to the dguard® app, which is to be installed and configured by the customer, and is sent under the same conditions via mobile communication.
The emergency call information consists of the data that is to be transferred from the on-board eCall systems to the emergency services call centres, according to Regulation (EU) 2015/758 of the European Parliament and Council from 29 April 2015, in order to ensure compatibility and interoperability with a future continuous and harmonised EU-wide eCall service as defined in Commission Delegated Regulation (EU) 305/2013 from 26 November 2012 (“EU-wide eCall Text”).
Alternatively the emergency call information is communicated by the means of an automated voice message in the German mobile communications network, in German. The message communicates the coordinates of the emergency location at the start of the emergency call. If, at the time the emergency call is triggered, the SIM card for the dguard® eCall module is logged into the mobile communications network of another country in Appendix 1, the voice message is in English; if and insofar as a voice message is implemented in the dguard® eCall module in one of the official languages of the country in question at the time that the emergency call is triggered, the statement is delivered in that language.
The emergency call can also be triggered manually using the dguard® eCall button.
(3) System requirements
The customer is advised that for digades dguard® to be used and function correctly, it must be properly installed and it must be operated properly as defined in the user manual included with the product on purchase. The user manual can be downloaded from www.dguard.com/manuals.
(4) Limits of the system
Transmission of an emergency call after an accident or transmission of an anti-theft warning may fail in individual circumstances beyond the control of digades. These circumstances include:
a) Lack of integrity and vitality in the hardware components
The hardware components are also designed for the expressed purpose of detecting accidents. However, this design cannot counteract every conceivable external violent impact by means of design engineering measures. In extreme accident situations, the hardware components themselves may be damaged, which may impair the functioning of the system.
b) Atypical accident or theft situation
The system software concludes the presence of an accident or theft situation (referred to in the following as: “situation”) on the basis of defined combinations of data provided by the system’s sensors. This definition is the result of an assessment of conclusiveness which is necessary in order to avoid false alarms (e.g. if the vehicle falls over), but this results in a conflict of objectives when it comes to detecting all possible situations. If atypical situations occur in which the sensor's values suggest an event other than an accident or theft, it is possible that no emergency call or anti-theft warning is triggered, despite the actual presence of an accident or theft. These atypical situations can occur, for example, if
- The motorbike comes to a standstill in an almost vertical position after an accident, possibly because it is stuck between trees or it is wedged between other vehicles (the system may not be able to distinguish this from an emergency braking)
- The motorbike is hit by an oncoming vehicle when at a standstill (the system may not be able to distinguish this from the motorbike simply falling over)
- The motorbike is not being moved in a customary manner
The first two do not apply to devices with a serial number greater than 00010000
c) Lack of availability of sufficiently precise location data
The system generates the location coordinates necessary for the emergency call from values provided by the Global Positioning System (GPS). If, for example, GPS fails, or the GPS operator alters the precision of the location tracking to a degree that is no longer sufficient, or there is not a connection to enough GPS satellites at the time of the accident (e.g. due to failures or unsuitable terrain), it is possible that the system will not be able to determine the location and it is therefore not possible to trigger an emergency call. Item d) applies correspondingly.
d) Lack of network coverage
To establish communication with the emergency service call centre and the dguard® eCall app, the system uses the public network of a German mobile operator commissioned by digades for this purpose, or a foreign mobile communications network available to this mobile operator via roaming. If it is not possible to establish a mobile network communication, it is not possible to trigger an emergency call. The details are regulated and described in Section 3 Paragraph 2.
e) Use of foreign mobile communications networks
To trigger the emergency call, the system dials the EU-wide emergency number 112. In proximity to national borders, it is possible for technical reasons that the SIM card for the dguard® eCall module does not log into the mobile network of the country in which the dguard® eCall module is currently located but instead logs into the roaming network of the neighbouring country; in this case, the emergency services call centre in the neighbouring country is contacted. Until the rescue services are harmonised sufficiently across the EU as part of the eCall project, it cannot be expected that an emergency call to an emergency services call centre in a neighbouring country will lead to rescue operations at the accident location in sufficient time, and/or that the emergency call will be forwarded to the responsible emergency services call centre for the accident location. Even if the information is forwarded, this may result in delays to rescue operations.
Receipt of anti-theft warnings on the dguard® app requires an active data connection on the smartphone in question, which is not guaranteed without the corresponding contractual terms and the appropriate configuration of the smartphone for data roaming; the same applies to the smartphone’s SMS connection in foreign mobile communications networks in the event that the customer has configured the receipt of anti-theft warnings to specify that the warnings are received via SMS.
f) Lack of statutory regulation relating to processing of automated emergency calls
How the corresponding national emergency services call centres process an incoming automated emergency call is beyond the control of digades. In the interests of reliable location information, the way that emergency services call centres in EU member states operate conventionally depends on the use of permanently installed SOS telephones and/or action by persons where location-independent use of the public communications infrastructure is involved (especially mobile communications). Only once the EU member states comply in full with the obligations of Commission Delegated Regulation (EU) 305/2013 from 26 November 2012 will the processing of automatic emergency calls by eCall systems be assured. Up until this time, the emergency service call centres in the individual member states will continue to function according to regulations with different contents and different depths of regulation, resulting in specific practices that cannot be taken into account by the system\’s function. The system\’s functioning with the additional announcement as described in Section 2, Paragraph 2, Subparagraph 3, Clause 2 is based on Section 4, Paragraph 8, Clause 5, Number 2 of the German Ordinance on Emergency Calls from 6 March 2009 (last modified by Article 1 of the law on 26 November 2012), however with the proviso that the SIM card permanently installed in the dguard® eCall module is used to make the call, not a mobile telephone carried by the person. No comparable legal situation and/or instructions can be assumed for other member states of the EU or the EEA. This applies to the countries listed in Appendix 2.
§ 3 Performance, availability, duration and cost of the services
(1) dguard® services
To ensure that the customer has access to the necessary mobile network connection from digades dguard®, digades shall provide the customer with a mobile network connection for the dguard® eCall module for a period of two years (service contract). The service contract starts on the day that the SIM card installed in the dguard® eCall module purchased by the customer is activated by the authorised dealer. The costs of the mobile network connection are included in the purchase price for the first two years of use (base period). The app for the digades dguard® system is available free of charge from the Apple App Store and the Google Play Store. The customer is free to discontinue use at any time or to put the dguard® eCall module out of operation and delete or uninstall the app without this resulting in any claims for reimbursement.
The service contract ends after the base period elapses, without the need for a cancellation or notification of termination, unless the customer makes use of the opportunity to extend the service contract, on payment of a fee, in the dguard® app under the category “My dguard system”.
If the service contract is not extended before the base period elapses, the system is switched to inactive and the app can no longer be used. The system can be reactivated and the period extended by at least one year within two months of the end of the base period at the standard rate, according to the current price list.
From the 3rd to the 21st month after the end of the base period, the system can be reactivated and the period extended by two years from the time of reactivation. In this case, a surcharge of 50% applies in addition to the standard rate as defined in the price list. The system can be reactivated and the period extended by at least one year within two months of the end of the base period at the standard rate, according to the current price list.
If the system is not reactivated and the period extended by the end of the 21st month after the base period elapses, at the latest, the SIM card is finally and irrevocably switched off. The system as a whole can then no longer be used and it has to be purchased again in full from an authorised dealer and registered.
(2) Availability of services
digades dguard® is based on the receipt of GPS-based data and radio-controlled data transmission via the SIM card installed in the product. digades has no influence over the availability and quality of the radio network provided by the network operator or over the GPS network, and it cannot therefore guarantee continuous and precise determination of the vehicle data required to detect the accident and to transfer the emergency call to the emergency service call centre at any time.
digades dguard® is limited geographically to the reception and transmission range of the radio stations operated by the network operator and it may also be impaired by atmospheric conditions of use, the topographical situation, the position of the vehicle, and other obstacles (e.g. bridges, tunnels, buildings). Furthermore, the emergency call can only be transferred if the mobile communications network is functioning and operational.
Malfunctions to digades dguard® may result from force majeure, as well as due to technical and other measures, such as maintenance and repair work on the network operator\’s systems. Malfunctions may result due to temporary capacity bottlenecks caused by peak loads or malfunctions in the area of telecommunications systems operated by third parties.
digades shall make every reasonable effort to rectify these malfunctions without delay or to help rectify them.
(3) Costs of the services
The dguard® services are included for the customer in the purchase price for the first 24 months of the service contract (“base period”); this applies only to the first-time conclusion of a service contract for a specific digades dguard® system. Once the base period elapses, the charges published by digades on the digades customer portal at the time that the contract in question is signed shall apply (“current price list”).
§ 4 Using the services
The customer must not use the digades dguard® for illegal purposes. The customer is advised here that deliberately or knowingly misusing emergency calls is punishable by law (see for example Section 145, Paragraph 1, Clause 1 of the German Penal Code). The customer is obligated to indemnify digades from all costs incurred by the customer as a result of misusing an emergency call. The customer is not responsible for accidental activation of emergency calls by digades dguard® caused by technical reasons.
Likewise, the customer may only use the SIM card installed in the product for the intended usage of the digades dguard® services.
The customer may transfer the service contract, including its option to extend, to a third party without the consent of digades, provided that the customer sells in full to said third party the digades dguard® system that was purchased by the customer and for which the service contract was concluded, and the third party reregisters this digades dguard® system in his or her name on the dguard® customer portal.
§ 5 Right of withdrawal
You have the right to revoke this contract within fourteen days without giving a reason. The term of revocation is fourteen days after the day on which you or a third party named by you who is not the carrier takes and/or took possession of the goods.
In order to exercise the right of revocation, you must inform us (Digades GmbH Digitales und analoges Schaltungsdesign, Äußere Weberstraße 20, 02763 Zittau, Email: dguard@digades.de, Phone: (0 35 83) 57 75-0, Fax: (0 35 83) 57 75-444) by means of an explicit statement (e.g. with a posted letter, fax or email) about your decision to revoke this contract. You can use the attached revocation form for this, but this is not obligatory.
In order to ensure the revocation period is observed, it is sufficient for you to send notification of the exercising of the right of revocation before the end of the revocation period.
Consequences of revocation
If you revoke this contract, we have a maximum of fourteen days from the day on which the notification of revocation of this contract is received by us within which to return to you all payments received by us, including delivery costs (with the exception of additional costs incurred by choosing a delivery method other than the cheaper standard delivery offered by us). For this refund we use the same payment method as was used for the original transaction unless something different is explicitly agreed with you; in no instance will any charges be levied against you for this refund. We can refuse this refund until we have received the goods back or until you have provided proof that you have sent the goods back, depending on which is the earlier point in time.
You have to send back or surrender the goods immediately and in any case at the latest within fourteen days from the day on which you informed us of the revocation of this contract. The period is observed if you send the goods before the end of the period of fourteen days.
You bear the immediate costs of returning the goods. You must only pay for any loss in value of the goods if this loss in value can be traced back to incorrect handling by you after an examination of the nature, characteristics and functions of the goods

Exclusion of right of revocation
The right of revocation does not exist for contracts concerning the delivery of goods which are not prefabricated and for whose manufacture an individual selection or provision by the user applies, or which have clearly been customised according to the user's personal requirements. Also, the right of revocation does not exist for the delivery of goods which can quickly spoil or whose expiration date will quickly be exceeded.
Special instructions for the early expiration of the right of revocation
For contracts concerning the delivery of sealed goods, which for reasons of health protection or hygiene are not suitable for return, the right of revocation expires prematurely if the seal on the goods has been broken after delivery.
For contracts concerning the delivery of audio or video recordings or computer software in a sealed package, the right of revocation expires prematurely if the seal on the goods has been broken after delivery.
Prices and payment processing
All prices quoted include value-added tax. Services provided by digades may only be ordered and procured by electronic means. As no delivery is involved, there are no shipping costs.
Fees for the service contract are due for payment immediately at the start of the renewal period in question. Payment shall be processed via PayPal Plus only.
§ 6 Liability
(1) digades accepts no liability for the correctness, completeness and validity of the data and information transferred via the digades dguard®. The same applies to the consequences of malfunctions, interruptions and functional impairments to the transfer of the automatic emergency call or the automatic anti-theft warning, especially in the cases described in Section 2, Paragraph 4 and Section 3, Paragraph 2.
(2) digades shall be liable for damages or reimbursement of expenses incurred in vain in all cases of contractual and non-contractual liability in the event of wilful intent and gross negligence according to the statutory provisions.
(3) In other cases, digades shall only be liable – unless otherwise regulated in Paragraph 4 – in the event of breach of fundamental contractual obligations, that is, obligations that must be fulfilled in order to enable proper implementation of the contract and which the customer may reasonably expect to be complied with (cardinal obligation); this liability shall be limited to foreseeable and typical damages. In all other cases, liability is excluded, subject to the provision in Paragraph 4.
(4) digades\’ liability for damages due to injury to life, body or health and in accordance with product liability law shall remain unaffected by the limitations and exclusions of liability in Paragraphs 2 and 3.
§ 7 Applicable law and place of jurisdiction
(1) Choice of law
Unless mandatory legal provisions of the law in the customer\’s country of residence provide otherwise, the law of the Federal Republic of Germany shall apply to this contract and these TUCR. Application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
(2) Place of jurisdiction
If the customer is a business, a legal entity according to public law, or a separate estate of public law, and is based in Germany at the time of the purchase order, or if the customer does not have a general court of jurisdiction in the Federal Republic of Germany, the exclusive place of jurisdiction for all legal disputes arising from this contract is the digades registered office in Zittau, Germany. Otherwise, the applicable statutory provisions shall apply for local and international jurisdiction.
§ 8 Severability clause
If one or more provisions of these TUCR prove invalid, in full or in part, or if they later lose their legal validity, this shall not affect the validity of the remaining TUCR.
§ 9 Notes on the German Battery Law
(1) digades advises that the customer is legally obliged, as an end user, to return used batteries.
(2) The customer can return used batteries free of charge to digades or to the designated disposal locations (for example in municipal collection points or in retailers). The customer can also send the batteries to digades by post. In this case, digades shall reimburse the customer the cost of postage for returning the old battery.
(3) The symbols indicated on the batteries have the following meaning:
a) The symbol of a crossed-out rubbish bin means that the battery may not be disposed of as household waste.
b) Pb = battery contains more than 0.004 percent lead by weight
c) Cd = battery contains more than 0.002 percent cadmium by weight
d) Hg = battery contains more than 0.0005 percent mercury by weight
